            Note:
              Indemnification :
              (Company) shall indemnify Nuvoton Technology Corporation
              (Nuvoton) against, and hold it harmless from, any and all
              damage,  loss,  expense or fines,  including reasonable
              attorney fees, that Nuvoton may incur or suffer by reason
              of infringement of any copyrights,  patents,  trademark,
              or any other right of a third party. Company shall notify
              Nuvoton of any claim demand  or  lawsuit within one week
              after the assertion of the claim or demand or the service
              of process in the lawsuit.
              The IC mask created by customer's code would be kept in
              Nuvoton inventory as long as customer could maintain
              regular orders on annual basis using the so created IC
              mask.   However, if the IC mask were being kept in idle
              and no orders were released to support the usage for two
              consecutive years, Nuvoton reserve the right of disposal
              without advanced notice and would hold no responsibility
              to whatsoever lost caused on customer side due to such
              action.   Customers are advised to review the status of
              the IC masks created on regular basis.   Advanced notice
              must be delivered to Nuvoton in case they still wish to
              keep these masks after being kept idle for two consecutive
              years.   With the official written notification from
              customers, Nuvoton will extend the IC mask maintainence
              for one or two years depending on the capacity situation
              in our warehouse.
