PROGRAM LICENSE AGREEMENT
The program(s) delivered with this Agreement are licensed only on the condition
that the purchaser agrees to the terms and conditions of this Agreement. If you
do not agree, return the packaged program unopened to your distributor or
dealer and your purchase price will be refunded. If you install, copy or
otherwise use the programs you agree to all of the terms of this Program
License Agreement.
NEC Electronics America, Inc. (hereinafter called "NEC Electronics America")
agrees to grant and the Customer agrees to accept, subject to the following
terms and conditions, a personal, nonexclusive and nontransferrable license to
use the proprietary program(s) (hereinafter called "Program") of NEC Electronics
Corporation, Japan (hereinafter called "NEC"), delivered with this Agreement.
The Program covered by this license consists of the executable development
software, such as assemblers, linkers, librarians, object converters, simulators,
compilers, or source code which may be used to create such executable development
software. The Program may include short sample source programs provided with the
development software for test and example purposes. These sample source programs
may be used by the Customer for test and example for purposes only. Neither NEC
Electronics America nor NEC warrants these sample programs in any way whatsoever
for any use and the Customer assumes all risk for any such use. The Program may
also include source code or executable versions of communication software
provided with the development software. If the communication software is NEC
Electronics America's, it may be used by the Customer without any restriction for
purposes other than this contract. Provided, however, that NEC Electronics
America does not warrant these sample communications programs in any way for such
use and the Customer assumes all risk for such use. If the communication
software is KERMIT, that program is copyrighted by Columbia University and may be
copied, subject to restrictions by Columbia University. Contact Columbia
University for further information.
1. License
The license granted hereunder authorizes the Customer to use the Program
in machine readable form on any single computer system (hereinafter
called "System"). A separate license is required for each System on
which the Program will be used.
2. Copy
a) The Program may be copied, in whole or in part, in printed or machine
readable form, for use by the Customer on the System, to understand
the contents of the Program, to modify the Program or merge it into
other programs as set forth in Paragraph 3 below, for backup purposes;
provided, however, that no more than five (5) printed copies shall be
in existence with respect to any Program at any one time without prior
written consent of NEC Electronics America.
b) The Customer agrees to maintain appropriate records of number and
location of all copies of the Program made under 2a above.
c) The Customer acknowledges that the original and any copy of the
Program, in whole or in part, are the property of NEC. All title and
copyrights in and to the Program and any accompanying printed
materials and any copies thereof are owned by NEC. You may not delete
or change any copyright notice or any other proprietary notice which
appears on or with the Program. The Customer agrees to reproduce and
include NEC's copyright notice on any copy, in whole or in part, in
any form, of the Program.
3. Limitation on Reverse Engineering and Modification
You may not reverse engineer, decompile, or disassemble the Program
unless such activity is expressly permitted by applicable law
notwithstanding this limitation.If the source code of the Program is
provided to the Customer, the Customer may modify such Program or merge
it into other program for his own use. Any program resulting shall be
subject to all terms and conditions of this Agreement.
4. Confidential Treatment
During the term of this Agreement and thereafter, the Customer agrees to
treat and maintain the Program in strict confidence and not to disclose
or otherwise make available the Program in any form, to any person, firm
or corporation other than the employees of the Customer with a need to
know.
5. Program Support Services
a) The Program is provided "AS IS" and any upgrades will be provided at
NEC or NEC Electronics America's option at an appropriate cost.
b) The Customer shall destroy the original and any copy, in whole or in
part, of the prior release of the Program promptly after the receipt
by the Customer of the Updates, if any.
c) If Updates are provided to the Customer they shall be subject to all
terms and conditions of this Agreement.
6. Warranty Disclaimer
The Program is provided "AS IS". NEC and NEC Electronics America makes
no representation or warranties with respect to the Program, expressed or
implied, including but not limited to, the implied warranties of merchant
ability and fitness for a particular purpose, or that the use of the
Program will not infringe any patent or copyright. In no event shall NEC
or NEC Electronics America be liable to the customer for loss of
business, loss of profit, goodwill, or other special or consequential or
pecuniary damages as a result of the use by the Customer of the Program
even if NEC or NEC Electronics America have been advised of the
possibility of such damages.
7. Term
This Agreement shall become effective as of the date of shipment of the
Program from NEC Electronics America to the Customer, and shall continue
in force until terminated by either party hereto pursuant to Paragraph 8
below.
8. Termination
a) Not withstanding the above, the Customer may terminate this Agreement
by returning the Program unopened within 15 days of delivery. After
15 days, the Customer may terminate this Agreement upon one (1)
month's prior written notice. NEC Electronics America may immediately
terminate this Agreement in the event that the Customer commits a
breach of any provisions of this Agreement.
b) The Customer shall destroy the original and any copy, in whole or in
part, of the Program promptly after the termination of this Agreement.
9. Miscellaneous
a) The rights and benefits of the Customer hereunder shall not be
assigned or transferred in any manner whatsoever.
b) The validity and construction of this Agreement shall be governed by
the laws of the State of California. The parties shall attempt to
settle disputes, controversies or differences which may arise out of
or in relation to or in connection with this Agreement.
c) All prior negotiation between the parties hereto are merged in this
Agreement. This Agreement constitutes the entire agreement between the
parties hereto with respect to the subject matter hereof, and there
are no understandings, representations or warranties of any kind
except as expressly set forth herein. This Agreement cannot be
altered, changed, supplemented or amended by except by written
instrument or instruments signed by the parties hereto.
d) You may not rent, lease, sell, or transfer the Program.
