END-USER LICENSE AGREEMENT FOR LAVALYS EVEREST SOFTWARE

IMPORTANT, READ CAREFULLY: This End-User License Agreement is a legal agreement between you (either an individual or a single entity) and Lavalys for the software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this End-User License Agreement. If you do not agree to the terms of this End-User License Agreement, do not download, install, store, copy or use any part of the SOFTWARE PRODUCT.

LAVALYS EVEREST SOFTWARE PRODUCT LICENSE

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

1. GRANT OF LICENSE. This End-User License Agreement grants you the following rights:

* Software License. If you have bought a copy of the SOFTWARE PRODUCT from Lavalys, Lavalys grants you the right to make copies of the SOFTWARE PRODUCT for backup and archival purposes.  If you have bought a copy of the SOFTWARE PRODUCT from Lavalys, you may install and use as many copies of the SOFTWARE PRODUCT as you need for your own, personal use.

* Software License. If you have downloaded a copy of the SOFTWARE PRODUCT, Lavalys grants you a non-renewable trial period of 30 days, during which you have the right to make copies of the SOFTWARE PRODUCT for backup and archival purposes.  During this trial period, you may install and use as many copies of the SOFTWARE PRODUCT as you need for your own, personal use.  After this trial period, you must remove and destroy all copies of the SOFTWARE PRODUCT you have made.

* Software License. Apart from the two cases described above, you do not have a licensed copy and thus are not allowed to download, install, store, copy or use any part of the SOFTWARE PRODUCT.

* Reproduction and Distribution. You may NOT reproduce and distribute any copies of the SOFTWARE PRODUCT without the prior permission of Lavalys.  If such permission is granted, then each copy shall be a true and complete copy, including all copyright and trademark notices, and shall be accompanied by a copy of this End-User License Agreement.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

* Maintenance of Copyright Notices. You must not remove or alter any copyright notices on all copies of the SOFTWARE PRODUCT.

* Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

* Separation of Components. The SOFTWARE PRODUCT is licensed as a single product and may not be use on more than one PC.

* Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT.

* Performance or Benchmark Testing.  You may not disclose the results of any benchmark test of the SOFTWARE PRODUCT to any third party without Lavalys
