  ELECTRONIC END USER LICENSE AGREEMENT
  FOR VOICE COMMUNICATOR COMPONENTS VERSION 2.5.2007.04 PRO

  THIS IS A CONTRACT. BY INSTALLING THIS SOFTWARE YOU
  ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.

  A COPY OF THIS LICENSE IS AVAILABLE FOR YOUR FUTURE
  REFERENCE IN THE "LICENSE_PRO.TXT" FILE PROVIDED
  WITH THE SOFTWARE.

  This Lake of Soft, Ltd End User License Agreement accompanies the
  Voice Communicator components version 2.5 Pro product and related
  explanatory materials ("Software"). The term "Software" also shall
  include any upgrades, modified versions or updates of the Software
  licensed to you by the Lake of Soft, Ltd.

  Please read this Agreement carefully. You accept this agreement and
  continue to install the Software or, if you do not wish to accept
  this Agreement, you will not be able to use the Software and should
  remove it from your system. 

  Upon your acceptance of this Agreement, Lake of Soft, Ltd grants to
  you, if you are an individual, or, if you are an entity, one (1)
  designated person in your organization ("Named User") a personal,
  nonexclusive, nontransferable and limited license to use
  the Software solely to create, compile (including byte code compile),
  test and deploy, in object code form, your own application programs
  and other works ("Works"), subject to the terms and conditions of
  this License.


  1. USE OF THE SOFTWARE

     You may install the Software on a hard disk or other storage
     device, and may also make a reasonable number of copies of
     the Software to backup devices such as hard disks, optical media,
     or tape and one (1) physical CD media backup copy of
     the Software solely to replace the original copy provided
     to you if the original copy is damaged or destroyed.

     This is personal license. You may install the Software on a
     reasonable number of machines provided that the Named User is
     the only individual permitted to use the Software.

     Subject to the other terms and conditions of this License, you
     may distribute your Works to others. This includes deploying
     your Works for end-users, providing custom services and other.


  2. LIMITED WARRANTY

     LAKE OF SOFT, LTD DO NOT WARRANT THAT THE FUNCTIONS
     CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS
     OR THAT THE OPERATION OF THE SOFTWARE WILL BE
     UNINTERRUPTED OR ERROR FREE.

     This software is provided on 'as-is' basis, without any express
     or implied warranty. In no event will the Lake of Soft, Ltd
     Company be held liable for any damages arising from the use
     of the Software.


  3. RESTRICTIONS

     You may not lease, rent or loan the Software to any third party.

     You may not sublicense, distribute or otherwise transfer
     the Software or any component thereof to any third party except
     as expressly authorized in this Agreement.

     You may not remove, alter, or obscure any confidentiality or
     proprietary notices (including copyright and trademark notices) of
     Lake of Soft, Ltd or its suppliers on the Software.

     Your Works may not include redistributable development libraries,
     designed solely to be used by other developers.

     You acknowledge that the Software in source code form remains a
     confidential trade secret of Lake of Soft, Ltd. You agree to hold
     this information in confidence, not disclose it to any person,
     and not use it for any purpose other than the use of the Software
     as permitted under this License.

     The limitations in this Section apply equally to your use of
     the Software, in whole or in part, including any component or
     Redistributable.


  4. COPYRIGHT AND TRADEMARK RIGHTS

     The Software is proprietary to Lake of Soft, Ltd. The Software is
     licensed, not sold, to you. You acknowledge and agree that:
     
       - the Software is protected under civil laws;

       - Lake of Soft, Ltd retain all copyrights and other intellectual
         property rights in the Software;

       - you acquire no ownership or other interest (other than your
         license rights) in or to the Software;

       - Lake of Soft, Ltd owns all copies of the Software, however
         made.  You agree that you will not, at any time, contest
         anywhere in the world Lake of Soft's ownership of the Software,
         nor will you challenge the validity of Lake of Soft's rights
         in the Software. You have no rights hereunder to use any
         trademark or service mark belonging to Lake of Soft, Ltd.
