(*) Massachusetts residents add 5% sales tax.

To facilitate handling, please complete all fields except the signature

If the LICENSEE is a corporation or other legally recognized non-person
individual then an authorized officer must sign on the signature line
and also print his/her name and position under the signature line.  The
LICENSEE cannot be a DBA, sole proprietorship name or similar non-recognized
entity.

In consideration for fees paid, NDIS3PKT 1.0 is licensed to the below named
individual (``LICENSEE'') for use on a single machine.  LICENSEE shall not
transfer, assign, or attempt to transfer or assign this Agreement or any right
or obligation hereunder without the prior written consent of LICENSOR. LICENSEE
acknowledges that NDIS3PKT may contain network license management facilities
and LICENSEE agrees not to attempt to interfere with their operation.

TO THE EXTENT ALLOWED BY APPLICABLE LAW, NDIS3PKT IS PROVIDED "AS IS"
WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING,
BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
FOR A PARTICULAR PURPOSE.  THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE
OF NDIS3PKT IS WITH LICENSEE.

IN NO EVENT UNLESS REQUIRED BY APPLICABLE LAW WILL LICENSOR BE LIABLE TO
LICENSEE FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS, SPECIAL,
RELIANCE, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF LICENSEE'S
USE OR INABILITY TO USE NDIS3PKT, OR FOR ANY CLAIM BY ANY THIRD PARTY, EVEN IF
LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.   LICENSEE SHALL
INDEMNIFY LICENSOR FOR ALL EXPENSES RESULTING FROM SUCH CLAIMS, INCLUDING COSTS
AND LEGAL FEES.
